I am a MN corporation offering consulting, engineering and design-build for custom machinery. I was hired by a Florida recycling company to "invent" a new process for recycling LI-Ion cell phone batteries. The agreement was to pay a sum up front to get the project going, and then make progress payments at certain milestones and review project potential. Either party could stop the project at any time if it were deemed not feasible. We have been at this for about a year. We have a prototype machine working, but it needs more refinement. The customer asked that we bring the prototype to their warehouse in Jacksonville, FL. to demonstrate it and do some test runs. They had yet not signed a purchase agreement. They said they would, but did not. I told them that before I set up the prototype machine on their location, I need the purchase agreement, the PO, and the current progress payment. I received the payment, and a PO for $200,000. But they did not sign the purchase agreement detailing all the specifications and deliverables. We did deliver, setup and run the process for about two weeks. I submitted the invoice for the next progress payment for work already completed.
Now they have told me to stop work and will not pay the outstanding $60,000. They say the machine is not finished nor working they way they want it. They will not let me take the machine back to our facility to continue and complete the machine. If I want to finish the machine, they have said they will not pay me until it is complete and they like it, and that I have to do all the work on their site, and be done within 45 days. My company provides permit expediting services in Florida. We are not a licensed contractor, architect or engineer. We were hired by a restaurant franchisee (not a contractor or the land owner) to process permits, for a tenant interior build out. The franchisee is the tenant; not the land owner. We do not have a signed contract, but rather were engaged by the franchisee for services via email. We have worked with this franchisee on another project and not had any payment issues; hence no formal written contract on this project. We completed our permitting services on 09/30/22, and subsequently issued a final invoice. The franchisee has sent 2 partial payments, but is now refusing to make a final payment. I am a homeowner and victim of hurricane Ian. My public adjuster referred a mold mitigation company who would not give any estimate of services or a bill of services provided for nearly 6 months. They do not have a license to mitigate or assess mold and only one of the marital parties signed the contract. Today, I learned that they placed a lien on my home for $77,000. The lien states that my husband signed the contract, however the contract provided does not have his name or signature anywhere on it. He definitely never signed it and I only recall signing 1 page. I have found 19 other victims of mechanic liens by this unlicensed company. We are a Crime Scene Trauma Scene company; we provided services on a home in Port St. Lucie, Florida. The clean-up was completed and per our signed service agreement we processed the invoice through the (deceased) homeowner's insurance. The estranged husband was automatically listed as the next (per the insurance company) of kin and became the executor of the estate. He is the person that signed our service agreement. The insurance company issued a payment for our services in the form of a check and listed it as "IN THE ESTATE OF ______________". We were led to believe that the Executor (estranged husband) was in the process of setting things up with the estate lawyer and would have the estate (lawyer) pay our company for the services we provided. We have just learned that the executor (estranged husband) has just gone to the county to change the deed of the home into his personal name, and we have yet to receive payment for the services we provided.
