I entered into an equal partnership via a new corporation created by LegalZoom. The corporation bylaws state equal shares; however, one partner has attempted to take control of the property and has closed access to both the property and company bank account. Can a lien be filed? Majority of the money was already paid, but the job is at its final stages but not complete. The final product is not at all what was wanted, and has been expressed through and the beginning of the project. Short cuts taken, and final product is sloppy.

As an independent contractor, I was hired by the electrical subcontractor; SCS Inc. to assist them in acquiring new contract jobs with General Contractors from my personal network. I was successful in establishing a relationship with a GC, and ultimately acquiring the electrical contract job for my client; SCS Inc. I facilitated the singing and agreement between the General Contractor and subcontractor. The agreement established between me and my client the subcontractor; SCS Inc, is to be compensated a set percentage (10%) of the job acquired through my services. The owner of SCS Inc has declined to compensate me for my services, and therefore is in breach of our mutual agreement. To my knowledge, the GC is not aware of the situation and does not know that I am personally owed by the subcontractor. As I file a Notice of Identification both parties, the GC and Sub will be notified of my claim and my intention to ultimately file a lien. I have filed a mechanics lien against a contractor and the home owner. I have now received a counter sue claim that I must address in court 6/1. I am looking to find out the best way to present the evidence that I have indicating that the general contractor agreed to my services verbally and partially paid one invoice which I believe would be 'consideration' to verify we had a deal. The general contractor is saying we only verbally agreed on $3,500 when in reality I suggested it might be that amount but it would depend on how much work the project needed the I would send him the total price. I never agreed to $3,500. The counter sue is now asking for the lien to be removed and for me to pay his lawyer bills associated with this case. I would like to counter his claim and sue him for the total that is owed to me for two jobs along with the legal fees needed to counter his lawsuit. Please advise and thank you....Read More

During house construction funds were distributed from Sharon Credit Union bank according to bank's representative adjuster completion report every phase of the construction.
