Hello, My company is in the process of going thru contracts for two schools in Maryland that are private/public partnerships in which we are working the CM/Private partner. In the process I noticed the below clause in the contract and this not a typical clause I see in our contracts I wanted to see if this was typical in the industry. "It is expressly agreed that time is of the essence of this Agreement, and that the payment of the consideration herein expressed to be paid by Construction Manager is executory and strictly conditioned upon timely completion of Trade Contractors Work and proper performance of Trade Contractors obligations under this agreement. Unless otherwise agreed by Trade Contractor and Construction Manager, Trade Contractor shall bear the risk of loss of any of Trade Contractors Work (including property intended to become part of its work) and shall insure it on a 100% replacement cost basis, until such work or property is delivered to the project site and/or accepted by the Construction Manager." The concern is that payment is linked to performance or time of completion and the fact that many issues beyond our control can cause delays that should not result in holding payment for our installed work. We are a steel erection company located in Virginia and we have been in business since 2002. We are a material supplier for a project in Silver Springs, MD. We are not the manufacture we are a material only dealer for the manufacture. We supplied material May 27, 2021 and last supplied material on June 30, 2021. Sometime shortly after the material was installed we were notified of a defect with the material, at that time we had not been paid for the our May invoice. We did send our Preliminary Notice to everyone on 8/19/21 and we also set our Notice of Intent to File Lien on 10/21/21 both via Certified Mail. Fast forward to now and the manufature agreed to remake all the material for the project at no charge, but they excluded the cost of removeing and reinstalling the new material, which will deliver on 3/16/21. There is still uncertianty as to weither the material is actually defective or if it was an installation issue. Right now we have still not been paid for the original material, but somehow we still need to protect our lien rights. Levelset is telling me we have to file our Perition to Establish Construction Lien by 12/27/21 in the circuit court via a Maryland Attorney. Obviously this is a complex situation with a lot of information all at once, but we would like some guidance and ability to hire a Maryland Attorney that specializes in these types of situations. ...Read More

If I put the incorrect amount of the claim in my Notice of Intention to Lien, and I am still with the 120 day deasline to file the Notice, should I amend the the notice to the correct amount, or just issue a completely new Notice with the revised amount? We are a manufacturing firm in Maryland and contracted as a subcontractor on a Maryland construction project. The General Contractor on the project advised us to proceed with the fabrication of millwork in our shop. Our Project Manager has been out to the job site on numerous occasions for field measurements, etc. The General Contractor is now attempting to cancel the order although we already have the project 97% of the way complete and delivery / installation is scheduled for this week. Since we have expended labor costs for our Project Manager to be on the job site, I feel that we have lien rights. We're an HOA. Our lawyer prepared prepared a NOI to Record a Lien for one of our HOA members who is several months in arrears paying their HOA dues. I'm told the homeowner has 30-60 days to respond. After the owner did not respond, the lawyer then prepared a NOI to Record a Lien for Posting. Is there any difference between the two NOIs.....or was the HOA charged for doing the same work twice? We are buying out a partner who was listed as a guarantor on two construction bonds. The projects are nearly finished, they total $2.4M in contract value, and we have been paid to date $2.0M. The Bonding company will relinquish the partners secured interest if we provide a $500,000 ISLOC. The other option is to re-issue the bonds, which is not likely to occur and considerably expensive. The remaining two partners are still secured parties on these bonds and such moving forward. Is this a good Idea? How does this negatively impact our business/credit?...Read More
