A notice of contract has been filed in MASSACHUSETTS bearing seal of FLORIDA notary for an OHIO COPRORATION identified as a second tier subcontractor
Is this proper and acceptable by courts?

A Massachusetts mechanics lien can certainly be signed and notarized out of state. So, if the document was signed in Florida in front of a Florida notary, that'd be perfectly acceptable. As for the location of the corporation - as long as the lien was signed by someone who's authorized to sign on behalf of the company, then the home state of the corporation should be wholly irrelevant.
It's impossible to tell whether a particular lien would be upheld by the courts. But, the issues described above, without more, generally shouldn't cause problems.
